Ultima Hora Disney — Disney to Buy 21st Century Fox Assets for $52.4 Billion in Historic Hollywood Merger

Disney CEO Bob Iger extends contract through 2021 to oversee integration

The Walt Disney Co. has set a $52.4 billion, all-stock deal to acquire 20th Century Fox and other entertainment and sports assets from Rupert Murdoch’s empire. The deal between Disney and 21st Century Fox marks a historic union of Hollywood heavyweights and a bid by Disney to bolster its core TV and film businesses against an onslaught of new competitors in the content arena.

Key elements of the transaction unveiled Thursday morning:

• The deal values the 21st Century Fox assets in the transaction at $66.1 billion, including $13.7 billion in 21st Century Fox debt, or $28 a share. The enterprise value of the deal is $69 billion.

• Disney chairman-CEO Bob Iger has extended his contract with the company for another two years, through the end of 2021, in order to oversee the integration of the assets.

• 21st Century Fox shareholders will receive 0.2745 Disney shares for each Fox share held, giving Fox shareholders about 25% of Disney.

• 21st Century Fox will spinoff Fox Broadcasting Co., Fox Sports, Fox News, Fox Television Stations and a handful of other assets into a new company that will have revenue of $10 billion and earnings of about $2.8 billion. The 20th Century Fox lot in Century City will also remain with the spinoff Fox company.

• 21st Century Fox will continue to pursue its acquisition of the remaining 61% stake in Euro satcaster Sky that it does not already own with the intention of Disney taking it over when the Disney-Fox transaction is completed.

• Disney expects to realize $2 billion in cost savings from combining Disney and Fox’s overlapping businesses within two years of the deal’s closing.

• Disney expects the regulatory review of the acquisition to take as long as 18 months.

“The acquisition of this stellar collection of businesses from 21st Century Fox reflects the increasing consumer demand for a rich diversity of entertainment experiences that are more compelling, accessible and convenient than ever before,” said Iger. “We’re honored and grateful that Rupert Murdoch has entrusted us with the future of businesses he spent a lifetime building, and we’re excited about this extraordinary opportunity to significantly increase our portfolio of well-loved franchises and branded content to greatly enhance our growing direct-to-consumer offerings. The deal will also substantially expand our international reach, allowing us to offer world-class storytelling and innovative distribution platforms to more consumers in key markets around the world.”

21st Century Fox chairman Rupert Murdoch said: “We are extremely proud of all that we have built at 21st Century Fox, and I firmly believe that this combination with Disney will unlock even more value for shareholders as the new Disney continues to set the pace in what is an exciting and dynamic industry. Disney is betting on an ambitious purchase of a sizable chunk of 21st Century Fox, hoping that more cable networks, production studios and other properties will buoy it into the future as it dives into the direct-to-consumer streaming distribution business with sports and entertainment services planned to launch in 2018 and 2019, respectively.

To feed those new pipelines, Disney is expanding its content production infrastructure with the acquisition of 20th Century Fox, a cable group that includes FX Networks, National Geographic and 300-plus international channels, and 22 regional sports networks. Also included is Fox’s 30% stake in Hulu, 50% share of Endemol Shine Group, the Star India satellite service, and Fox’s 39% interest in Euro satellite broadcaster Sky. Disney emphasized that the transaction was not contingent on Fox closing the buyout of the remainder of Sky.

If federal regulators block the $52.4 billion deal Disney has committed to pay a $2.5 billion breakup fee to 21st Century Fox.

Staying with 21st Century Fox is the Fox broadcast network and its 28 TV stations, the Fox News and Fox Business channels, and the national Fox Sports 1 and Fox Sports 2 networks and cablers Big Ten Network and Fox Deportes. Notably, the 50-acre 20th Century Fox lot in Century City will also remain with the new Fox company.

There was no immediate word from the companies on management plans for the enlarged Disney film and TV operations — a key question for thousands of employees at both companies. Nor did 21st Century Fox specify management plans for the coming spinoff company that will house the remaining Fox assets.

As Disney’s empire expands, another one will shrink. The deal, telegraphed in early November when word first surfaced the two companies had sounded each other out about a possible deal, initially shocked industry insiders. Under Rupert Murdoch, Fox has long been a swashbuckling builder. Murdoch has never shied away from attempting what once seemed impossible, from launching Fox Broadcasting Co. as the fourth national broadcast network in 1986 to acquiring the Wall Street Journal in 2007 to revving up Fox Sports as a national competitor to ESPN in 2013.

But the sale reflects rising uncertainty about the economics of traditional media outlets as digital technology forces massive change in the way people consume their news, movies and TV programs. In a world of tech giants such as Facebook, Amazon, Apple and Google with global reach, conglomerates like 21st Century Fox became small by comparison, despite the strength of its brands and content-producing expertise.

“With many pressures hitting the media industry, Fox’s potential moves make immense sense,” said media-industry analyst Michael Nathanson in a recent research note. Fox can bank on strong revenue from affiliate fees from its remaining TV assets, and use its sports rights; passionate Fox News views fan base; and big-audience broadcast events for leverage. “Paring down their asset base would not change this hand,” he said.

The decision by the Murdoch to sell comes a little more than two years after Rupert Murdoch handed control of 21st Century Fox to his sons, James and Lachlan. There’s been much speculation about 21st Century Fox CEO James Murdoch moving to a top role at Disney after the sale. Lachlan Murdoch, executive chairman, meanwhile, is expected to remain with the reconfigured 21st Century Fox. Iger said during an interview with ABC’s “Good Morning America” that he and James Murdoch will “be discussing whether there’s a role for him at this company” in the coming months.

For Disney, the acquisition provides new heft, and even gives it more control over some of the content that fuels its business.

Fox owns the studio, for example, that produces the ABC hit “Modern Family.” Now Disney will take control of the program, and benefit from syndication and other distribution of the series. The 20th Century Fox studio has the rights to make movies for Marvel characters like “X-Men” the result of deals struck before Disney purchased Marvel in 2009. Fox also controls rights to the one “Star Wars” film that is not under Disney’s aegis – the first movie in the franchise, “Star Wars: A New Hope.”

More importantly, Disney will gain access to overseas markets with Fox’s interest in Sky. 21st Century Fox has been working for months to purchase the shares of Sky it does not own, but the process has so far been tamped down by British regulators, who have expressed wariness of business operations at Fox News. With that unit remaining with the Murdochs, Disney may have its own opportunity to buy Sky in whole and gain a new perch in overseas distribution.

The deal also gives Disney majority control of Hulu, as Disney also owns a 30% stake in the streaming giant. But that sets up a potential clash over the direction of the company with Comcast and Time Warner, who together own the remaining interest in Hulu. The expectation is that Disney will try to buy out those stakes, although Comcast may not be inclined to sell given that Disney intends to launch its own OTT services to compete with cable and other MVPDs.

Disney will gain ballast in the world of TV programming, by taking on the National Geographic channels, as well as the premium drama and comedy of the FX Networks outlets that have thrived under leader John Landgraf. Disney’s current portfolio of cable networks focuses largely on kids and families, not on the viewers who are buoying operations like HBO, Showtime, AMC and FX. Many of Disney’s networks take only limited advertising. While the larger group of TV networks gives the company more say at the negotiating table with distributors it means the company can tap a broader flow of advertising dollars as well.

The move is not without risk for seller and buyer. Can Fox make a go of things with an early-stage cable-sports operation; two cable networks that aim for a particular broad niche of people with the same political leaning; and a broadcast network that has flailed since the demise of the original “American Idol” in 2016? And will the new properties offset some of the operating troubles Disney has had with its two best-known properties, ESPN and ABC? ESPN remains the king of sports TV, but in recent years it has lost subscribers while under obligations to pay out millions in lucrative rights fees to the nation’s sports leagues. And ABC has struggled to gain a foothold in the ratings, despite the recent success of Shonda Rhimes-produced dramas like “Grey’s Anatomy” and ” How to Get Away With Murder.”

The Disney-Fox deal has prodded chatter that the remaining 21st Century Fox assets will be recombined with News Corp., the publishing side of the Murdoch empire that was split off from the entertainment and media side in 2013. Even as the ink is barely dry on the Disney agreement, already there’s speculation about the Murdochs considering other transactions with its remaining networks.

“The new Fox will draw upon the powerful live news and sports businesses of Fox, as well as the strength of our Broadcast network,” Rupert Murdoch said in a statement. “It is born out of an important lesson I’ve learned in my long career in media: namely, content and news relevant to viewers will always be valuable. We are excited by the possibilities of the new Fox, which is already a leader many times over.”

Ultima Hora Disney — Netflix Acquires Animated Family Film ‘Klaus’ From ‘Despicable Me’ Co-Creator

Netflix has acquired exclusive global rights to the animated family film Klaus, which marks the directorial debut for Sergio Pablos, who wrote the story and is the co-creator of Despicable Me. The voice cast is a good one with Jason Schwartzman, Rashida Jones, J.K. Simmons and Joan Cusack. The film is in production in Madrid, and Netflix plans to roll it out for Christmas 2019.

The Christmas family comedy will tell the story of a desperate postman who inadvertently brings about the genesis of Santa Claus. Written by Pablos, Zach Lewis and Jim Mahoney, the screenplay is based on an original story by Pablos.

Producers are Tanguy Olivier, Gustavo Ferrada and Marisa Roman, and co-producers are SPA Studios, Pablos’ animation studio, and Atresmedia Cine. Jinko Gotoh (The Lego Movie Sequel, The Little Prince) is the executive producer. Toon Boom Harmony will provide strategic technological support.

Angela “Big Ang” Raiola, star of VH1’s Mob Wives, lost her battle with cancer early Thursday morning. She was 55.

On behalf of the Raiola family, close friend Vinnie Medugno confirmed the news that the larger-than-life Staten Island reality star had “peacefully ended her battle with cancer” with a statement on Big Ang’s Twitter account. The Mob Wives star was being treated for stage 4 lung and brain cancer at the time of her passing.

“YOU (fans) were some of the most special people in her world, and she loved you immensely,” the statement read. “Thank you for your love, prayers, and unconditional support of Angela right to the end.”

In March 2015, Raiola underwent a procedure to remove a “lemon-sized” tumor from her throat. Three months later, she underwent the same procedure for the right side of her throat, and in December, it was revealed that her cancer had returned and spread to her brain and right lung.

“It’s shocking what happened,” Big Ang shared on the February 16 episode of The Dr. Oz Show. “First I thought I was cancer-free. I was gonna have a big celebration… and then a month later I was stage 4.”

Earlier this week, Raiola announced that she and her husband of six years, Neil Murphy, had separated because she felt like he had “never stepped up to the plate.”

“So I was done with it,” she told The Dr. Oz Show. “I feel now it’s too late. Bye. I rather be by myself.”

Known for her boisterous personality and crazy onscreen antics, Big Ang also had an incredible bond with her family — her “inner circle.”

“We’re a very tight family,” she said. “If my family wasn’t here to support me through all this, I don’t think I could do it.”

Raiola is survived by her sister, Janine Detore, her two children, Raquel and Anthony Donfrio, and six grandchildren. Her youngest grandchild, Anjolie Scotto, was born three weeks ago. “This little bundle of joy is what makes it all worth while,” Raiola posted on her Instagram page.

We’ll miss you and your big heart, Ang.

Frank Armitage, Disney Artist & Jungle Book Illustrator, Dies

Frank Armitage, who contributed artwork to Disney classics like The Jungle Book and Mary Poppins, has died at the age of 91.

The famed illustrator died on Monday of age-related causes at his home in Paso Robles, California, Disney Animation Studios VP of Communications Howard Green announced, according to The Hollywood Reporter.

In addition to his work in animation, Armitage contributed to murals and theme park designs around the world along with his wife, Karen Connolly Armitage, according to their website Armitage Images.

The Melbourne, Australia, native began working for Disney in 1952 and his first project involved working on animation for Lady and the Tramp. He then transitioned into background art for films such as Peter Pan, Sleeping Beauty, Mary Poppins and the Disneyland episode Man in Space.

He became an Imagineer in 1977 and worked on Disney theme parks, including the design of anatomical figures used to create the Wonders of Life Pavillon in Epcot. He also made production illustrations and Academy Award-winning set designs for Fantastic Voyage in 1966.

"Frank's artistic skills were excellent – but I loved having him on our Imagineering team because he knew so much about art and life," Marty Sklar, former Disney Imagineering creative executive, said in a statement to THR.

After retiring from Disney in 1989, Armitage took courses in Eastern medicine, including acupuncture, and is noted for his contributions to medical illustrations.

He is survived by his daughters Nicole Armitage Doolittle, who works at Disney, and Michelle Armitage, an artist in the entertainment industry.

"Ultima Hora Disney": Disney XD's 'Gravity Falls' Ends After Two Seasons

Disney ended the animated series Gravity Falls after 2 seasons on Friday (November 20), according to show’s creator Alex Hirsh.

The mystery cartoon tells the story of 12-year-old siblings Dipper and Mabel Pines navigating their way through an interesting summer at their uncle’s tourist attraction, The Mystery Shack.

Alex took to his Tumblr to explain the tough decision.

“There’s no easy way to say it so I’m just going to say it: Gravity Falls is coming to an end,” he said.

However, according to Alex the show’s ending is exactly how he wanted it go all along.

“The first thing to know is that the show isn’t being cancelled- it’s being finished. This is 100% my choice, and its something I decided on a very long time ago. I always designed Gravity Falls to be a finite series about one epic summer- a series with a beginning, middle, and end,” he continued.

The show will have two final episodes: “Weirdmageddon II: Escape from Reality” and “Weirdmageddon III”. Both shows will be an hour long with the first of the two airing Monday

Ultima Hora Disney: It’s Official: Teen Beach 2 Premieres On…

It’s an amazing Wednesday morning as we get to announce two awesome things: First, we FINALLY get to announce the secret we’ve been keeping for months, and that is Teen Beach 2 will air on Disney Channel on June 26 at 8 PM ET/PT. This time Brady (aka hottie Ross Lynch) and Mack (the one and only Maia Mitchell) will get an unexpected visit from their pals from the past, including Butchy, Cheechee and Seacat. The big question is will Brady and Mack’s love survive the semester?! We’ll have to wait and see.

The second super-cool news is that our friend Ricky Garcia from Forever In Your Mind landed his very first Disney Channel series called Best Friends Whenever, and it sounds awesome! It’s about time-traveling best friends Shelby and Cyd, who try to do things like go back in time to fix things that went wrong. (Um, yeah, who wouldn’t do that if they could). Ricky plays Naldo, a sidekick scientist who tries to time travel, too. We can’t wait to check it out! Best Friends Whenever airs right after the premiere of Teen Beach 2!

Ultima Hora Disney: Disney Channel Has Renewed “Liv And Maddie” For A Third Season

Yay!!! Great news!!! “Liv and Maddie” has been picked up for a third season by Disney Channel!!!

Variety just broke the news today (Friday, April 3, 2015), and we are THRILLED!!! Love this series!

Season 3 is set to premiere this fall with production resuming this June in Los Angeles.

“Liv and Maddie” also stars Dove Cameron, Joey Bragg, Tenzing Norgay Trainor, Kali Rocha and Benjamin King along with Shelby Wulfert and Emmy Buckner, and was created by John D. Beck and Ron Hart, who exec produce with Andy Fickman, John Peaslee and Betsy Sullenger.

The Disney Channel has just ordered a new comedy pilot TV show called Stuck In The Middle. The lead actress in the series will be Jenna Ortega. The new series is about a middle child (Jenna) who does her best to have her life all figured out, until the one day that she needs everyone in her family to be in the same place at the same time! Stuck In The Middle is being written by Alison Brown (Dog With A Blog) and Linda Videtti Figueiredo (Cougar Town). The Disney Channel Original Series will be directed by Jonathan Judge (Zeke & Luther). The new contestants for ABC’s “Dancing With The Stars” was announced on Tuesday (February 24, 2015). One name that stuck out to me was R5 member Riker Lynch. Who are you excited to watch dance this season?!!
Press release: Dancing with the Stars Season 20 Cast Announcement The 10th anniversary celebrity cast of Dancing with the Stars is strapping on their ballroom shoes and getting ready for their first dance on MONDAY, MARCH 16 (8:00-10:01 p.m., ET) on the ABC Television Network. This 20th season’s lineup of celebrity dancers includes a television icon, a party rocker, a football star and a Shark, to name a few. Fans will have to wait to find out who the final couple is when they are announced in the coming weeks, completing the cast of twelve celebrity dance couples. This season of Dancing with the Stars will be filled with surprises as we celebrate the last 10 years. The show will bring back fan favorite theme nights including Disney and Latin night and also introduce new themes, including Spring Break Night. Viewers will also have more access to the show than ever before with #DWTSAllAccess offering viewers a behind the scenes look with six live stream videos from key positions in the ballroom. Additionally, viewers will have access to the DWTS rehearsal studio like never before, with live streaming videos available throughout the week on As announced this morning on ABC’s Good Morning America, the celebrities with their professional partners heading to the ballroom this season (in alphabetical order) are: NOAH GALLOWAY — A native of Birmingham, Alabama, Sergeant Noah Galloway was assigned to the 1st of the 502nd Infantry of the 101st Airborne Division out of Fort Campbell, Kentucky during Operation Iraqi Freedom. Just three months into his second tour of duty, he experienced a life changing injury. On December 19, 2005, Galloway lost his left arm above the elbow and left leg above the knee in an Improvised Explosive Device attack. He was transported to Germany to receive medical treatment, remaining unconscious for five days. Galloway woke up late in the evening on Christmas Eve to learn he lost two of his limbs and sustained severe injuries to his right leg and his jaw. Galloway was then transferred to Walter Reed Army Medical Center in Washington, DC. After a long stint in recovery and rehabilitation, Galloway did what many disabled veterans do, becoming withdrawn, out of shape and depressed. The former fitness fanatic and hyper competitive athlete was now drinking, smoking and sleeping his days away. But late one night, Galloway took a long look in the mirror and realized there was more to him than the injuries so he set a goal to get back in shape, be healthier and inspire others. Here is a statement from ABC Family Executive Karey Burke regarding the cancellation: We are proud of the milestones Melissa & Joey has achieved, being the network’s first sitcom to reach 100 episodes and the network’s first comedy to win a People’s Choice Award. Now that the kids are grown and Mel and Joe have married and are looking toward starting a family, it seemed like a natural time to bring the series to a close. Ultima Hora Disney: Harmonizers Lend Support as a Fifth Harmony Member Suffers Tragic Loss

While yesterday was filled with celebration following the release of Fifth Harmony's first album, it was also a day of great sadness. We're sad to report that Lauren Jauregui's grandmother, Angelica, unfortunately passed away last night amid the craziness that came with the girls' busy day. The news was confirmed by Lauren's dad, who sent out a tweet letting fans know what was going on.

Almost immediately after the tweet came out, Harmonizers around the world showered Lauren and the entire Jauregui family with love and support using the hashtags #RIPAngelica and #WeAreHereForYouLauren.

As most Harmonizers already know, Lauren and her grandmother were extremely close, and the singer constantly posted photos of the two together on her social media accounts. Six months ago, one of the captions on the pics read:
Happy Birthday to the strongest, most beautiful grandmother a girl could ask for. I love you with all my heart. You will never know how much you’ve taught and given me.
Our hearts go out to you and your entire family at this tough time, Lauren!
